Wingtech’s Official Statement on the Dispute over the Control of Nexperia and the Stability of the Global Semiconductor Supply Chain

我方注意到安世荷蘭于11月27日致安世中國(guó)領(lǐng)導(dǎo)層的公開(kāi)信，該信中存在大量混淆視聽(tīng)的不實(shí)指控和虛假信息，并進(jìn)一步反映了安世荷蘭推卸責(zé)任、回避問(wèn)題，缺乏妥善解決此次事件的誠(chéng)意。在當(dāng)前全球芯片產(chǎn)業(yè)鏈面臨動(dòng)蕩與風(fēng)險(xiǎn)的局面下，作為安世半導(dǎo)體的唯一合法股東，同時(shí)也是深耕半導(dǎo)體產(chǎn)業(yè)、始終致力于維護(hù)全球產(chǎn)業(yè)鏈穩(wěn)定的企業(yè)，聞泰科技鄭重發(fā)布聲明如下：

We have taken note of the open letter dated November 27 sent by Nexperia B.V. to the leadership of Nexperia’s entities in China. The letter contains a large number of misleading and untrue allegations, as well as false information. It further reflects Nexperia B.V. attempts to evade responsibility, divert attention from real issues, and its lack of sincerity in properly resolving the matter. At a time when the global semiconductor supply chain is facing turbulence and heightened risks, as the sole lawful shareholder of Nexperia and a company deeply rooted in the semiconductor industry and consistently committed to maintaining global supply chain stability, Wingtech hereby solemnly issues the following statement:

一、聞泰科技對(duì)安世半導(dǎo)體的控制權(quán)及股東權(quán)益遭到非法剝奪，系導(dǎo)致全球半導(dǎo)體供應(yīng)鏈混亂和動(dòng)蕩的根源

A.The unlawful deprivation of Wingtech’s control and shareholder rights over Nexperia is the root cause of the current chaos and disruption in the global semiconductor supply chain

正如中國(guó)商務(wù)部明確指出，此次全球半導(dǎo)體供應(yīng)鏈混亂的源頭和責(zé)任在荷蘭方面。正是在荷蘭經(jīng)濟(jì)部不當(dāng)干預(yù)下，安世荷蘭通過(guò)向企業(yè)法庭發(fā)起不當(dāng)?shù)脑V訟程序，非法地剝奪了聞泰科技作為安世半導(dǎo)體股東的控制權(quán)和合法股東權(quán)益，才導(dǎo)致了今天全球半導(dǎo)體供應(yīng)鏈的混亂和動(dòng)蕩。因此，如果這一切無(wú)法得到恢復(fù)，全球半導(dǎo)體供應(yīng)鏈的穩(wěn)定暢通將無(wú)從談起。

As clearly stated by China’s Ministry of Commerce, the origin and responsibility for the current disruption of the global semiconductor supply chain lie with the Dutch side. It was the improper intervention by the Dutch Ministry of Economic Affairs, coupled with Nexperia B.V.’s inappropriate legal actions before the Enterprise Chamber, that led to the unlawful deprivation of Wingtech’s control and lawful shareholder rights in Nexperia. This is the direct cause of today’s instability and disorder in the global semiconductor supply chain. Unless this situation is rectified, restoring stability and the smooth functioning of the global semiconductor supply chain will be impossible.

事實(shí)上，自控制權(quán)爭(zhēng)議發(fā)生以來(lái)，本著負(fù)責(zé)任的態(tài)度和維護(hù)全球客戶利益的原則，在中國(guó)相關(guān)政府部門(mén)的大力幫助與推動(dòng)下，我方已主動(dòng)釋放善意，明確表達(dá)了愿意與安世荷蘭方面就如何恢復(fù)聞泰科技的合法控制權(quán)、妥善解決當(dāng)前爭(zhēng)端進(jìn)行建設(shè)性溝通。我方更是多次通過(guò)不同場(chǎng)合、多種途徑，主動(dòng)向安世荷蘭表達(dá)愿意通過(guò)協(xié)商共同尋求解決方案。安世荷蘭在其公開(kāi)信中所稱(chēng)“其主動(dòng)聯(lián)系中方，但未得到任何實(shí)質(zhì)性回應(yīng)”完全與事實(shí)不符。

Since the onset of the control dispute, Wingtech, guided by a sense of responsibility and the principle of safeguarding the interests of global customers, has, under the strong support and facilitation of the relevant Chinese government authorities, proactively demonstrated goodwill. We have repeatedly expressed our willingness to engage in constructive communication with Nexperia B.V. on restoring Wingtech’s lawful control and seeking a proper resolution to the dispute. We have also, on numerous occasions and through multiple channels, reached out to Nexperia B.V. to pursue a negotiated solution. The claim in Nexperia B.V.’s open letter that it “proactively reached out but received no substantive response” is entirely inconsistent with the facts.

二、聞泰科技與安世半導(dǎo)體所面臨的控制權(quán)爭(zhēng)議是關(guān)乎全球半導(dǎo)體供應(yīng)鏈穩(wěn)定的重大議題

B.The control dispute involving Wingtech and Nexperia is a major issue directly affecting the stability of the global semiconductor supply chain

如我方反復(fù)強(qiáng)調(diào)，安世半導(dǎo)體是關(guān)系到全球半導(dǎo)體供應(yīng)鏈穩(wěn)定的關(guān)鍵節(jié)點(diǎn)，從新能源汽車(chē)的動(dòng)力控制系統(tǒng)，到工業(yè)自動(dòng)化設(shè)備的核心驅(qū)動(dòng)部件，再到各類(lèi)消費(fèi)電子的能源管理模塊，安世半導(dǎo)體的產(chǎn)品已深度融入全球產(chǎn)業(yè)鏈的多個(gè)關(guān)鍵環(huán)節(jié)，成為眾多國(guó)際大廠保障供應(yīng)鏈穩(wěn)定的重要基石。

As we have repeatedly emphasized, Nexperia occupies a critical position in the global semiconductor supply chain. From power control systems in new-energy vehicles, to core drive components in industrial automation equipment, to power-management modules in consumer electronics, Nexperia’s products are deeply embedded in key segments of the global industrial chain and serve as an essential foundation for numerous major international manufacturers to ensure supply chain stability.

若安世半導(dǎo)體的控制權(quán)爭(zhēng)議得不到解決，眾多客戶將面臨供應(yīng)鏈斷裂的風(fēng)險(xiǎn)，車(chē)企的生產(chǎn)交付計(jì)劃可能被迫調(diào)整；工控設(shè)備領(lǐng)域的供應(yīng)鏈也將隨之動(dòng)蕩，工業(yè)生產(chǎn)的穩(wěn)定性與連續(xù)性將受到嚴(yán)重影響，眾多企業(yè)的交付周期、成本控制、市場(chǎng)競(jìng)爭(zhēng)力都將受到嚴(yán)重波及。

If the control dispute remains unresolved, numerous customers could face supply chain disruptions. Automakers’ production and delivery schedules may be forcibly adjusted. Supply chains across the industrial automation sector would become unstable, jeopardizing the reliability and continuity of industrial production. Delivery timelines, cost control, and market competitiveness for many companies would be severely affected.

因此，這絕非一起簡(jiǎn)單的企業(yè)控制權(quán)爭(zhēng)議事件，而是一場(chǎng)可能波及數(shù)十萬(wàn)客戶、覆蓋幾十個(gè)國(guó)家產(chǎn)業(yè)鏈安全的重大事件。聞泰科技始終主動(dòng)釋放善意并尋求溝通和解決方案，不僅是為了維護(hù)自身作為唯一股東的合法權(quán)益，而更是希望通過(guò)積極行動(dòng)，避免全球產(chǎn)業(yè)鏈被人為制造更多風(fēng)險(xiǎn)，守護(hù)全球芯片產(chǎn)業(yè)協(xié)同發(fā)展的良好生態(tài)。

This is therefore far more than a simple corporate control dispute; it is a major issue with potential implications for hundreds of thousands of customers and the industrial-chain security of dozens of countries. Wingtech’s continued goodwill and active pursuit of communication are motivated not only by the need to safeguard our lawful shareholder rights as the sole owner of Nexperia, but also by our commitment to preventing additional risks from being artificially imposed on the global industrial chain and to preserving the collaborative ecosystem of the global semiconductor industry.

三、恢復(fù)聞泰科技的合法控制權(quán)，保障股東合法權(quán)益是解決當(dāng)前全球芯片產(chǎn)業(yè)鏈困境的基礎(chǔ)與關(guān)鍵

C.Restoring Wingtech’s lawful control and protecting its shareholder rights is fundamental and essential for resolving the current challenges facing the global semiconductor supply chain

我方再次強(qiáng)調(diào)，聞泰科技當(dāng)前的訴求，并非追求額外的、新的利益，而是要恢復(fù)本就屬于我方的合法權(quán)利，恢復(fù)聞泰科技對(duì)安世半導(dǎo)體的合法控制權(quán)與完整股東權(quán)利。自這場(chǎng)控制權(quán)爭(zhēng)議發(fā)生以來(lái)，聞泰科技已多次清晰、明確地表達(dá)該核心訴求，傳遞溝通意愿，并付諸實(shí)質(zhì)努力。

We reiterate that Wingtech is not seeking any additional or new benefits. Our sole demand is the restoration of the rights that lawfully belong to us – the restoration of Wingtech’s lawful control over Nexperia and our full shareholder rights. Since the beginning of this dispute, Wingtech has clearly and consistently conveyed this core position, expressed its willingness to engage, and taken concrete steps to facilitate a resolution.

與此同時(shí)，中國(guó)政府部門(mén)也已明確表達(dá)了支持態(tài)度，明確剝奪聞泰科技控制權(quán)的裁決是阻礙問(wèn)題解決的關(guān)鍵所在，并希望荷方繼續(xù)展現(xiàn)真誠(chéng)合作的意愿，真正提出建設(shè)性解決問(wèn)題的方案。如今，推動(dòng)問(wèn)題解決的關(guān)鍵一方在于安世荷蘭。立即與我方開(kāi)展有關(guān)恢復(fù)聞泰科技合法控制權(quán)，保障聞泰科技合法股東權(quán)益的溝通，是解決當(dāng)前供應(yīng)鏈困境的基礎(chǔ)與關(guān)鍵。

At the same time, the Chinese government has explicitly expressed its position, stating that the ruling stripping Wingtech of its control is the key obstacle to resolving the issue, and has urged the Dutch side to demonstrate genuine goodwill and put forward constructive proposals. At this stage, the key to resolving the dispute lies with Nexperia B.V. Immediate engagement with Wingtech on restoring our lawful control and safeguarding our shareholder rights is the foundation and prerequisite for resolving the current crisis in the global semiconductor supply chain.

四、安世荷蘭始終回避核心問(wèn)題，缺乏溝通誠(chéng)意

D.Nexperia B.V. continues to evade the core issues and lacks sincerity in communication

遺憾的是，即使我方多次通過(guò)不同場(chǎng)合、多種途徑尋求溝通，安世荷蘭始終對(duì)我方提出的合法訴求不予回應(yīng)，也未提供任何協(xié)商條件，完全回避造成當(dāng)前困境的核心問(wèn)題，缺乏最基本的溝通誠(chéng)意。

Regrettably, despite our repeated efforts through multiple channels, Nexperia B.V. has consistently failed to respond to our legitimate demands or present any conditions for negotiation. It has completely avoided the core issues that created the current crisis and has shown a lack of even the most basic sincerity for dialogue.

事實(shí)上，安世荷蘭刻意回避根本矛盾，試圖在不觸及歸還我方合法控制權(quán)及股東權(quán)益的情況下，討論所謂“公司治理、合作”的態(tài)度，結(jié)合近期荷蘭政府和安世荷蘭的一系列動(dòng)作，我方認(rèn)為其真實(shí)意圖是為安世荷蘭構(gòu)建“去中國(guó)化”的供應(yīng)鏈并徹底剝奪聞泰科技股東權(quán)益爭(zhēng)取時(shí)間。安世荷蘭的這一舉動(dòng)，是單方面的將少數(shù)人的利益置于全球數(shù)十萬(wàn)企業(yè)客戶、數(shù)十個(gè)國(guó)家產(chǎn)業(yè)鏈安全之上，使全球供應(yīng)鏈穩(wěn)定面臨深度風(fēng)險(xiǎn)。

In fact, Nexperia B.V. has deliberately avoided addressing the fundamental contradictions, attempting to discuss so-called “corporate governance and cooperation” stance without touching upon the return of our legitimate control rights and shareholder interests. Combined with the recent series of actions by the Dutch government and Nexperia B.V., we believe their true intention is to buy time for Nexperia B.V. to construct a “de-China-ized” supply chain and permanently strip Wingtech of its shareholder rights. Such actions by Nexperia B.V. unilaterally place the interests of a few above the security of hundreds of thousands of enterprise customers worldwide and the industrial chains of dozens of countries, exposing global supply chain stability to profound risks.

五、敦促安世荷蘭正視問(wèn)題，共同守護(hù)產(chǎn)業(yè)鏈穩(wěn)定。

E.We urge Nexperia B.V. to face the issues seriously and work together to safeguard supply chain stability

基于上述所有事實(shí)與立場(chǎng)，為推動(dòng)安世半導(dǎo)體控制權(quán)爭(zhēng)議的妥善解決，為維護(hù)全球半導(dǎo)體產(chǎn)供鏈的穩(wěn)定暢通，為保障產(chǎn)業(yè)鏈上下游所有參與者的合法權(quán)益，聞泰科技鄭重敦促安世荷蘭：

based on the facts and positions outlined above, and in order to properly resolve the control dispute, safeguard the stability of the global semiconductor supply chain, and protect the lawful rights of all stakeholders across the industrial chain, Wingtech solemnly urges Nexperia B.V. to:

1. 立即停止歪曲事實(shí)、混淆視聽(tīng)、誤導(dǎo)大眾的行為，摒棄沉默與回避，正視核心問(wèn)題。希望安世荷蘭清醒認(rèn)識(shí)到控制權(quán)爭(zhēng)議是導(dǎo)致供應(yīng)鏈混亂的根本，正視核心矛盾，不再回避與拖延，以坦誠(chéng)的態(tài)度面對(duì)各方關(guān)切。

   Immediately cease distorting facts, misleading the public, and evading responsibility. Nexperia B.V. must recognize that the control dispute is the root cause of the current instability and must face the core issues directly, without further delay or evasion.

2. 回應(yīng)我方的合法訴求、就恢復(fù)我方對(duì)安世半導(dǎo)體的合法控制權(quán)、保障我方股東權(quán)利等關(guān)鍵議題提出具有建設(shè)性的方案。

   Respond to our legitimate demands by presenting constructive proposals regarding the restoration of Wingtech’s lawful control over Nexperia and the protection of our shareholder rights.

3. 立即響應(yīng)磋商請(qǐng)求，開(kāi)啟對(duì)話進(jìn)程。我方再次鄭重要求安世荷蘭就控制權(quán)問(wèn)題與聞泰科技立即展開(kāi)專(zhuān)項(xiàng)磋商，從根本上化解矛盾，為恢復(fù)全球半導(dǎo)體產(chǎn)供鏈穩(wěn)定暢通創(chuàng)造必要條件。

   Immediately respond to our request for consultations and commence dialogue. We once again formally request that Nexperia B.V. begin dedicated consultations with Wingtech on the control issue, so as to resolve the dispute at its root and create the necessary conditions for restoring stability across the global semiconductor supply chain.

Wingtech Technology firmly believes that the healthy development of the global semiconductor industry cannot be separated from collaborative cooperation among enterprises of all countries, from common respect for market rules, and even more so from steadfast protection of the legitimate rights and interests of enterprises. We expect Nexperia B.V. to respond to industry expectations with responsible actions and, together with Wingtech, jointly promote problem resolution on the basis of respecting rules and safeguarding rights and interests, protecting the stability and prosperity of the global chip industry chain.
